JULIO C. ESQUIVEL is a partner in the corporate practice group in the Tampa, Florida office of Shumaker, Loop & Kendrick, LLP and is a member of the firm’s Management Committee. Mr. Esquivel focuses his practice in corporate, securities, franchise and general business matters. He has significant experience with a wide variety of transaction structures across a broad range of industries, including handling matters for entrepreneurs, start up companies, established private companies, and public companies. Mr. Esquivel’s experience includes:

•  Representing buyers, sellers and lenders in connection with mergers, stock and asset acquisitions, divestitures and spin-offs;

•  Representing issuers and underwriters in connection with public and private offerings of debt and equity securities, including initial public offerings, secondary offerings and PIPEs;

•  Advising clients on matters relating to the formation of new businesses (structure, governance and related issues), with extensive experience representing start-up and growth stage enterprises;

•  Representing investors and businesses in connection with venture capital and private equity investments;

•  Advising public and private companies in connection with corporate governance matters and ’34 Act reporting obligations, including compliance with the Sarbanes-Oxley Act;

•  Representing franchisors and franchisees; and

•  Advising parties with regard to joint venture, partnership and related agreements.
